Article I. NAMEÌý
The name of this organization shall be the Ã山ǿ¼é Staff Council.Ìý
Article II. PURPOSEÌý
Staff CouncilÌýrepresentsÌýtheÌýnon-exemptÌýstaffÌýmembersÌýof the Ã山ǿ¼é.ÌýIts purpose is to contribute to the progress of the University by promoting a positive work environment and healthy work/life balance,Ìýencouraging staff engagement in university matters, and furthering the missionÌýof Ã山ǿ¼é.Ìý

Article III. MEMBERSHIPÌý
Eligibility for membership in this organization shall be limited to all regular full-time,Ìýnon-exemptÌýstaff employees with at leastÌý90 daysÌýof service.Ìý

Section I: Voting and Non-Voting StatusÌý
Voting privileges are reserved exclusively for the currently seated Staff CouncilÌýrepresentatives. EachÌýrepresentative shall hold one vote on all matters brought before the Council.Ìý
The following roles serve in an advisoryÌýand/orÌýnon-voting capacity:Ìý
Immediate Past Chair: Provides continuity and institutional knowledge.Ìý
Alternate Representatives: Serves as aÌýreplacement representativeÌýuntil such time as a permanent vacancy occurs within the CouncilÌýor their term ends. Alternates do notÌýpossessÌývoting proxies for absentÌýrepresentatives.Ìý
Ex-Officio: The University president or a designee serves as an ex officio member of the council.Ìý
An Alternate Representative shall only gain voting rights upon formal appointment to fill a permanent vacancy of a Staff Council Representative seat.Ìý
Article IV. OFFICERSÌý
Section 1. OfficersÌý
The officers shall consist of the chair, vice chair,Ìýsecretary,Ìýand past chair.Ìý
SectionÌý2. Term of OfficeÌý
The term ofÌýofficeÌýshall be for one fiscal year (July through June). No elected Executive Committee member shall serve in anyÌýofficeÌýforÌýmoreÌýthan two consecutive terms. However, in the event no candidate other than the incumbent, who has served the maximum terms in an office, is willing to stand for election, the Council may vote to suspend the term of office limit and accept a nomination for said incumbent to run for the same office for another term.Ìý
SectionÌý3. Filling of VacanciesÌý
In the eventÌýthatÌýanyÌýofÌýthe executive officers are unable to fulfill their role or take on the duties of another vacant position, the Staff Council will hold anÌýemergency election,Ìýin accordance with the rules,ÌýforÌýthe remaining representatives to nominate and appoint aÌýcurrentÌýrepresentative to hold the vacantÌýposition until June 30 of that fiscal year.ÌýÌý
SectionÌý4. DutiesÌý
The chair shall preside at Council and Executive Committee meetings, act as the official Staff Council representative and,Ìýalso serves as a liaison with all standing committees. The chairÌýworks with other committee chairs to schedule rooms for all meetings and events,Ìýcoordinates the training of new members and committeeÌýchairs andÌýpreparesÌýbinders for membersÌýwithÌýa calendarÌýof meetings, bylaws, responsibilities, contact information, loginÌýcredentialsÌýand events for the Staff Council.Ìý
The vice chair shall assume the duties of the chair inÌýtheirÌýabsence andÌýin the event ofÌýa vacancy. In the event the vice chair is unable to assume the duties, a new election will be heldÌýin accordance withÌýthe existing Staff Council rules.ÌýThe vice chair shallÌýbe responsible forÌýmaintainingÌýthe budget report and sharingÌýthe budget at each council meeting.ÌýThe vice chairÌýandÌýsecretaryÌýprepare the annual report to the Council.ÌýThe report shall be presented by the vice chair at the last meeting of the term.Ìý
The secretary shall assume the duties of theÌýviceÌýchair inÌýtheirÌýabsence andÌýin the event ofÌýa vacancy.ÌýIn the event the secretary is unable to assume the duties, a new election will be heldÌýin accordance withÌýthe existing Staff Council rules.ÌýThe secretary shall record the minutes of all meetings.ÌýApproved copies of the minutes will be posted on the Staff Council web page.ÌýThe secretary and vice chair shall prepare an annual report for the Council.ÌýÌý
Article V. ORGANIZATION,ÌýREPRESENTATIVES and ELECTIONSÌý
Section 1. RepresentativesÌýand Alternate MembersÌý
Staff Council membership shall beÌýcomprisedÌýof 20 voting representatives elected from the eligible population andÌýup to 20ÌýalternateÌýmembersÌý
Section 2.ÌýGeneralÌýElectionsÌý
There shall be an annual election of representatives to be held no later than May. Nominations for representatives may beÌýsubmittedÌýto the Nominating Committee by any current Ã山ǿ¼é staff or faculty member.Ìý
AllÌýnonsupervisoryÌýemployees with at leastÌý30 daysÌýof service are eligible to vote in representative elections to fill open seats on the Council. The candidates receiving the highest number of votes shall be elected as Council representatives. The newly elected representatives shall assume their duties on July 1.Ìý
Election shall be by secret ballot. At least one candidate for each vacancy shall beÌýsubmittedÌýby the Nominating Committee. The results of the election shall beÌýretainedÌýfor two years. Candidates not elected to a voting seat shall beÌýdesignatedÌýas alternateÌýmembers, ranked in order by the number of votes received.Ìý
If the current Staff Council consists of fewer than 20 voting representatives, or if an insufficient number of nominations are received to fill all open seats, an internal election shall be held in place of theÌýexternalÌýelection. In such cases, voting eligibility and procedures shall beÌýdeterminedÌýby the Staff CouncilÌýin accordance withÌýits established rules and procedures.Ìý
Section 3. Executive Committee ElectionsÌý
An annual election of officers shall beÌýheld no later than April. Two-thirds of currentÌýStaff CouncilÌýRepresentatives are neededÌýtoÌýsubmitÌýa vote for an election to be valid. All elections shall be by secret ballot, and results of elections are to be kept on file for two years. The elected chair, vice chair, and secretaryÌýwill assumeÌýtheir duties on July 1.Ìý
Section 4. Committee and Sub-committee ElectionsÌý
Each committee and sub-committee shall consist ofÌýno less than four membersÌýincludingÌýone chairÌýandÌýoneÌýco-chair. The chair and co-chairÌýwill be nominated and voted into office during the Staff CouncilÌýRetreat,Ìýand they will assume dutiesÌýimmediately.ÌýThe other members will be sorted during the Retreat.ÌýÌý
Section 5.ÌýTerm of OfficeÌý
The term of office for a representative shall be two fiscal years (July 1 through June 30). A representative may not serve more than two consecutive terms.ÌýIf at any point the representative can no longer fulfill theirÌýduties as a voting member, the longest standing alternateÌýrepresentative will replaceÌýand assume the responsibilities of that representative.Ìý Ìý
The termÌýof office for an alternateÌýrepresentativeÌýshall be two fiscal yearsÌý(July 1 through June 30)Ìýand no more than two consecutive terms.ÌýIfÌýan alternate replaces a current representative, the alternate willÌýassume andÌýcomplete the duties of that representativeÌýuntil June 30Ìýof that fiscal year.ÌýTheÌýalternate willÌýstart theirÌýfirstÌýterm (two fiscal years)ÌýonÌýJuly 1 of the new fiscal year.ÌýÌý
Section 6.ÌýFilling VacanciesÌý
At any point, if thereÌýisÌýan insufficient number of alternates on the Council, the Nominating Committee, with the guidance of the Executive Committee, willÌýrecruit and nominate candidates for the Council to elect to serveÌýas an alternate representative.Ìý
Section 7.ÌýDutiesÌý
The Council shall serve in an advisory capacity to the administration. All mattersÌýappropriate forÌýaction shall beÌýsubmittedÌýin writing to the Staff Council.ÌýÌýAnyÌýcurrent universityÌýemployee mayÌýsubmitÌýa proposalÌýtoÌýtheÌýCouncil for consideration.Ìý
The Staff Council shall prepare revisions of the bylaws; serve as a channel of communication between represented areas and the Council; make recommendations on matters of concern to the Council; fill vacancies andÌýcreate ad-hocÌýspecial committeesÌýby vote;Ìýsupervise Council/committee elections and communicate with new employees.Ìý
Article VI. MEETINGS AND EVENTSÌý
Section 1. Regular MeetingsÌý
The representatives of the Staff Council shall meet at least once a month during the fiscal year at such time and place as the Council approves. All meetings of the Staff Council areÌýopenÌýto current university employees.ÌýAll alternates are highly encouraged to attendÌýmeetings toÌýremainÌýknowledgeable onÌýallÌýmattersÌýrelated to the Council.Ìý
Section 2. Special MeetingsÌý
The Staff Council may be called into a special session by its Chair. All representatives must be notified in writing, byÌýemail,Ìýor by telephone at least 24 hours prior to a special meeting.Ìý
Section 3. QuorumÌý
A majority of voting representatives, defined as fifty percent plus one, shall constitute a quorum for the transaction of official business at any regular or special meetings of the Staff Council.Ìý

Section 4. Attendance and ParticipationÌý
Council members are expected to attend allÌýmandatoryÌýStaff Council meetingsÌýand hosted/partneredÌýevents. ÌýÌý
Council members,Ìýexcept the executive officers,Ìýare required toÌýserve on at least one standing committee andÌýone university committee that the Staff Council has representation. Any representativeÌýmay serve onÌýmultipleÌýsubcommittees andÌýad-hoc forÌýspecial committees throughout their term.Ìý
Attendance will be reviewed by the Executive Committee.  Any representative whoÌýis absent from more than twoÌýmandatoryÌýmeetings without sufficient cause and/or notification during any six-month period may be asked toÌýstep downÌýas a representativeÌýandÌýbecomeÌýan alternate representative orÌýresign fromÌýtheir position.Ìýaltogether. All decisionsÌýfor removal of any representative must be byÌýaÌýtwo-thirdÌývote of the full Council.  Written or email notification of the decision to remove will be given by the Chair to the representative.Ìý
All Staff Council members are expected toÌýparticipateÌýin Council sponsored events and activities, i.e.: Archie’sÌýPantryÌýDrive, Giving Tree,ÌýSupport Staff RecognitionÌýAwardÌýand any other event hosted by the Staff Council.Ìý
Article VII. EXECUTIVE COMMITTEEÌý
Section 1. MembersÌý
The Executive CommitteeÌýconsistsÌýof theÌýchair, vice chair, secretary, immediate past chair, and standing committee chairs.Ìý
Section 2. DutiesÌý
The Executive Committee shall arrange all Council meetings, establish committees for research, study and any other legitimate purpose consistent with expressed or perceived interest of the eligible employees at the University, prepare recommendations on behalf of the Council to the administration, and collaborate with other representative bodies of the University.Ìý
Article VIII. COMMITTEESÌý
Section 1. Description of CommitteesÌý
Standing committeesÌýand subcommitteesÌýwill be chairedÌýand co-chairedÌýby elected representatives.ÌýThe number ofÌýsubcommitteeÌýmembers should consist of a minimum ofÌýfourÌýrepresentativesÌýand the number ofÌýstandingÌýcommittees shallÌýconsist ofÌýno less than half of theÌýelected representatives,Ìýexcluding the executive committeeÌýAll representatives, except for theÌýexecutiveÌýofficers, are required to serve on at least one standing committee andÌýexpected to serve onÌýno less thanÌýone subcommittee or ad-hoc/special committee.ÌýÌý

The members of eachÌýstandingÌýcommitteeÌýand sub-committeeÌýshallÌýconsistÌýof aÌýchairÌýand co-chairÌýand two otherÌýrepresentatives.ÌýIf the committee chair position becomes vacant, the committee’sÌýco-chairÌýwill assume the duties of committee chair and the committee will elect a newÌýco-chair and committee member; if no volunteers the Staff council Chair shall appoint the vacant role to another representative. Each Standing Committee should meet at least once a month. Each SubcommitteeÌýand ad-hoc/special committeeÌýwill meet as needed.Ìý
SectionÌý3. DutiesÌýand Ad-Hoc/Special CommitteesÌý
StandingÌý
The Employee Benefits and Communications Committee shall, in consultation with the administrative staff, review and studyÌýbenefits-relatedÌýmatters and make recommendations to the Council. The committee shallÌýfacilitateÌýStaff Council communications and provide University support staff with a clear communication pathway to express concerns or questions.Ìý
The Employee Relations Committee shall addressÌýappropriate mattersÌýand other concerns of Staff Council and plan several annual events, including but not limited to, The Giving Tree, Archie’sÌýPantryÌýDrive, Student Worker AppreciationÌýWeek,Ìýand the Support Staff Employee Recognition AwardÌý
SubcommitteesÌý
The Bylaws Committee shall review amendments to these Bylaws to ensure language, grammar,Ìýand conformity. The Committee shall also recommend to the Council whether the amendment be approved or denied and give a reason for the recommendation. AÌýrecommendation to deny an amendment by the Committee does not prevent the amendment from being considered by the Council. The Committee shall also interpret these Bylaws when questions arise and make recommendations on clarifying amendments. This committee forms on an as-needed basis.Ìý
The Nominating Committee shall prepare a slate of eligible candidates who have consented to serve if elected and shall prepare ballots for the annual election and any other special elections. This committee forms on an as-needed basis.ÌýÌý
The Web Committee is a subcommittee of the Employee Benefits and Communications standing committee. It shallÌýmaintainÌýthe Council’s website and any social media accounts.Ìý
The Giving Tree Committee will consist ofÌýat least 3 council membersÌýthat are chosen during the June retreat. This subcommittee willÌýbe responsible forÌýmarketingÌýandÌýcommunications, reviewing and editing the Qualtrics form,Ìýcoordinating with campus partners, as well as collections and distribution.ÌýThere is a Giving Tree guide inside of theÌýStaff CouncilÌýO: Drive.Ìý
Ad-Hoc andÌýSpecial CommitteesÌý
The Executive Committee canÌýcreateÌýanyÌýad-hoc orÌýspecial committees asÌýdeemedÌýnecessary.Ìý
Section 4. AuthorityÌý
No standing committee, subcommittee, orÌýad-hoc/special committee of Staff Council,Ìýexcept the Executive Committee, has the authority to act independently of the Council.Ìý
Committees must receive approval from the Council beforeÌýfinalizingÌýany actionable projects or plans. The Council may grant pre-authorization to act, if needed. If Council approval or pre-authorization is not possible, the Executive Committee must approve the action.Ìý
Article IX. PROCEDURESÌý
The Staff Council shall abide by the current edition of Robert's Rules of Order, Newly Revised. These rules shall govern the Council in all cases to which they are applicable.Ìý
Article X. AMENDMENTSÌý
These bylaws may be amended by a two-thirds majority vote of the total Council, subject to approval by the authorizing body at any regularly scheduled meeting, provided that a written proposal for the amendment was submitted to the members of the Council at least one week prior to the meeting.Ìý
